10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

11. Governing Law and Dispute Resolution

11.1. These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law provisions.

11.2. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal or provincial courts located in Quebec, Canada. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

12. General Provisions

12.1. Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

12.2. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

12.3. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and New France Architectural Heritage regarding the Service and supersede all prior agreements and understandings.

12.4. Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
